1. Introduction

These Terms and Conditions (“Terms”) govern your use of all digital platforms and services provided by iWallet OÜ (“we,” “us,” “our”). By accessing, browsing, or otherwise using our website or services, you confirm that you have read, understood, and agreed to be legally bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our services.

2. Definitions

“User,” “Client,” “You” – any individual or entity using the services of iWallet OÜ
“Website” – www.iwallet.capital and all associated subdomains
“Services” – consultancy, financial analysis, digital tools, corporate support, and technical infrastructure
“Agreement” – these Terms, the Privacy Policy, and any other written agreement

3. Eligibility

You must be at least 18 years old or of legal age in your jurisdiction. You confirm you have the legal authority to enter into this Agreement.

4. Modification of Terms

We may update these Terms at any time without notice. Changes take immediate effect upon publication. Continued use means acceptance of the new Terms.

5. Services Provided

We offer:

Financial consulting (individuals & corporations)
Digital infrastructure and data analytics
Strategic project planning and execution
Legal, financial, and regulatory documentation support
International compliance guidance
Partner sourcing and due diligence

We may modify or suspend any service at our sole discretion.

6. Account Registration

Some features require registration. You agree to:

Provide accurate, up-to-date information
Maintain confidentiality of login credentials
Take responsibility for all actions under your account

7. User Conduct

You must not:

Engage in illegal or abusive behavior
Introduce malware or malicious code
Attempt unauthorized access
Infringe on our or others’ intellectual property
Use scraping or automated data extraction tools

Breach may lead to account termination and legal action.

8. Fees, Payments, and Invoicing

All fees must be confirmed in writing (e.g., email or contract)
Invoices are issued in euros unless agreed otherwise
Payment due within 7 calendar days
Late payment interest: 1.5% per month
Refunds are discretionary
Clients are responsible for conversion fees, banking costs, and applicable taxes

9. Confidentiality

Both parties must keep all shared confidential or proprietary information private. This obligation survives termination.

10. Intellectual Property Rights

All content and intellectual property created by iWallet OÜ remains our exclusive property. No copying, sharing, or reverse engineering is allowed without written permission.

11. Third-Party Services and Links

Our services may use or recommend third-party tools. These are subject to their own terms. We are not responsible for their performance, accuracy, or security.

12. Data Protection and GDPR

We comply with the GDPR (EU Regulation 2016/679) and Estonian laws. Please see our Privacy Policy for details on data collection, usage, and rights.

13. Limitation of Liability

We are not liable for:

Indirect or consequential damages
Business, profit, data, or reputation losses
Downtime or third-party failures

Total liability is limited to fees paid in the prior 3 months.

14. Indemnification

You agree to defend and indemnify iWallet OÜ, and its representatives against any claim arising from your misuse, breach, or illegal actions.

15. Force Majeure

We are not liable for delays caused by events beyond our control (e.g., natural disasters, war, cyberattacks, pandemics).

16. Termination

We may terminate your access for violations or legal reasons. Upon termination:

Your rights cease
Outstanding obligations remain
We may retain data for legal or compliance purposes

17. Entire Agreement

These Terms, our Privacy Policy, and any written agreement represent the full agreement between you and iWallet OÜ.

18. Governing Law and Jurisdiction

These Terms are governed by Estonian law. Disputes fall under the exclusive jurisdiction of Tallinn courts.

19. Language and Interpretation

This document is in English. Translations are for reference only. In case of discrepancy, the English version prevails.
